Biotech company Cyclezyme has completed the acquisition from Ragn-Sells of patents and intellectual property rights for a biotechnological process for producing melanin. Through an addendum agreement, the acquisition also includes national validations of a European patent in eleven countries and an Indian patent, without additional consideration.The purchase price is settled through a promissory note to be offset against 241 760 new shares in a directed share issue to Ragn-Sells. The subscription price is proposed at 30.43 kronor per share, corresponding to a value of approximately 7.4 million kronor and based on the share’s volume-weighted average price over ten trading days.The issue will be decided at an extraordinary general meeting on 19 October. Following the issue, Ragn-Sells will own approximately 7.9 percent of the shares and votes in Cyclezyme. Existing shareholders will be diluted by approximately 7.9 percent. No proceeds will accrue to Cyclezyme since payment is made through offsetting.
