Affärsvärlden assesses that there is a very high probability that the takeover offer for the software company Comintelli will go through. The newspaper's takeover guide wrote this in a comment on Friday. Dahlgren Capital is making an offer for Comintelli worth just over SEK 35 million. The offer premium of 68 percent is generous, the newspaper assesses, and shareholders in Comintelli are also offered to be part of the continued journey in an unlisted environment. A cash alternative is also offered.The offer covers all shares in Comintelli. Shareholders are offered either a cash consideration of SEK 3.50 per share or share consideration of one share in Dcap Bidco 2 per Comintelli share.Including its existing holding and binding acceptance undertakings from shareholders, Dahlgren Capital controls a total of 64 percent of the capital and votes in Comintelli."The Comintelli share is trading quite close to the offer level and the probability that the offer goes through should be very high, given the already high acceptance level, and existing owners can choose to remain shareholders in Comintelli by choosing the share consideration," writes Affärsvärlden.
